• AI-generated content may contain inaccuracies and should be reviewed before use

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration and Security

Account Creation: You must provide accurate and complete information when creating an account. You are responsible for keeping your account information up to date.

Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We strongly recommend using strong passwords and enabling multi-factor authentication.

4. User Content and Intellectual Property

Ownership of User Input

You retain ownership of the content you upload or input (product information, images, scripts, descriptions). By using the Service, you grant SponsoredAI a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, transmit, and display this content solely for the purpose of providing and improving the Service.

License to AI-Generated Output

AI-generated videos, voiceovers, and scripts may not be copyrightable in some jurisdictions. SponsoredAI grants you a perpetual, worldwide, non-exclusive license to use the outputs for lawful marketing and promotional purposes, subject to any applicable third-party rights.

Important: We recommend consulting legal counsel regarding intellectual property rights in AI-generated works, as laws vary by jurisdiction.

Data Used for Model Improvement

SponsoredAI may use user inputs and outputs (in aggregated or de-identified form) to train and improve its AI models, unless you opt out where such option is offered.

Prohibited Content

You may not upload or provide content that is:

• Illegal, obscene, harmful, infringing, defamatory, hateful, or otherwise objectionable
• Depicts or uses the likeness of real persons (including influencers, celebrities, or any individual) without proper authorization
• Violates any third-party intellectual property, privacy, or publicity rights
• Contains malware, viruses, or harmful code
• Promotes violence, discrimination, or illegal activities

You represent and warrant that you have all necessary rights to provide the input and that use of your input does not violate any third-party rights or applicable laws.

Any suggestions, comments, or feedback you provide may be used by SponsoredAI without obligation or compensation to you.

5. User Responsibilities and Acceptable Use

Compliance with Laws: You agree to use the Service only for lawful purposes and in accordance with all applicable laws and regulations, including but not limited to advertising laws, FTC guidelines, and platform-specific policies.

User Restrictions: You may not:

• Violate age or geographic restrictions
• Reverse-engineer, decompile, or attempt to extract source code from the Service
• Copy, modify, or create derivative works of the Service
• Send spam, distribute malware, or interfere with network operations
• Use the Service to create misleading, harmful, discriminatory, or deceptive advertisements
• Use AI-generated outputs to impersonate real individuals or create deepfakes
• Circumvent usage limits or access controls
• Use the Service for any illegal or fraudulent purpose

External Platform Policies: If you export ads to third-party platforms (e.g., Facebook, TikTok, Google Ads), you must comply with those platforms' advertising policies and terms of service.

Human Oversight: You are responsible for reviewing and editing all AI-generated content to ensure factual accuracy and compliance with advertising laws and platform rules before publication.

Account Termination: We reserve the right to suspend or terminate accounts for violating these Terms, creating legal risk, causing harm, or engaging in abusive behavior.

6. Payment, Fees and Subscriptions

Plans and Billing

SponsoredAI offers various subscription plans, video credit packs, and add-on features. Pricing and features for each plan are described on our pricing page.

Trial Period: New users may be eligible for a free trial video. Trial terms are specified at signup.

Billing Terms

• Subscriptions are billed monthly or annually as selected
• Subscriptions auto-renew unless canceled before the renewal date
• You can cancel your subscription at any time through your account settings
• Failed payments may result in suspension or termination of Service
• All fees are in USD unless otherwise stated

Price Changes

We reserve the right to change pricing with at least 30 days' advance notice. You will be notified via email or within the application. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

Refund Policy

Refunds are handled on a case-by-case basis. Generally:

• Trial videos are non-refundable
• Video credit packs are non-refundable once purchased
• Subscription cancellations take effect at the end of the current billing period; no pro-rated refunds for partial periods

Taxes

8. Termination and Suspension

Termination by User

You may terminate your account at any time via account settings or by contacting support@sponsored-ai.com. Upon termination, you lose access to the Service and your content may be deleted in accordance with our Privacy Policy.

Termination by SponsoredAI

We reserve the right to suspend or terminate your account (with or without notice) for:

• Violations of these Terms
• Non-payment
• Legal compliance reasons
• Security concerns or abusive behavior
• Extended inactivity

Effect of Termination

Upon termination, you lose access to the Service and any stored content. Unused video credits are non-refundable. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitation of liability.

9. Disclaimers and Limitation of Liability

Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SPONSOREDAI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee

We do not guarantee that:

• Ads generated using the Service will meet any performance targets or achieve specific marketing outcomes
• The Service will be error-free, uninterrupted, or secure
• AI-generated content will be accurate, complete, or suitable for your purposes
• Defects will be corrected

AI Limitations and Transparency

AI-generated content may contain inaccuracies, biases, or errors. You acknowledge that:

• AI outputs should be reviewed by humans before use
• You are solely responsible for claims made in advertisements
• AI models have limitations and may not always produce desired results

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW AND OTHER APPLICABLE LAWS, IN NO EVENT SHALL SPONSOREDAI, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION OR COST OF SUBSTITUTE SERVICES

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

10. Indemnification

Dispute Resolution

Informal Resolution: Before filing a claim, you agree to contact us at support@sponsored-ai.com and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction and Venue: If informal resolution fails, any legal action must be brought in the state or federal courts located in California, and you consent to the exclusive jurisdiction of those courts.

Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Changes to the Terms

We may modify these Terms at any time. Significant changes will be communicated via email or by displaying a prominent notice within the Service.

You are responsible for reviewing updated Terms. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

Entire Agreement

These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and SponsoredAI regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

Waiver

Any failure by SponsoredAI to enforce a provision is not a waiver of its right to do so later. No waiver of any term shall be deemed a continuing waiver.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, or government action.
